01Agreement to Terms

By creating an account or using Ukonik, you agree to these Terms of Service and our Privacy Policy. If you do not agree, do not use Ukonik. These Terms form a binding agreement between you and Wellkirk LLC.

02Description of Service

Ukonik is a performance intelligence tool that maps your calendar activity to a daily performance load score. Ukonik processes calendar metadata — meeting duration, attendee count, and timing — to compute scores, surface patterns, and generate insights. The Service uses third-party AI models (currently OpenAI GPT-4o-mini) to generate narrative content — weekly and monthly insights, personalized nudges, and, where you enable it, automatic classification of meeting titles against priorities you have declared. See our Privacy Policy for what data is sent to those models and how you can turn each feature off.

On mobile, and only when You choose to connect it, Ukonik can also read a limited set of biometric signals — heart-rate variability, sleep, resting heart rate, steps, active energy, and workouts — from Apple Health or Health Connect, and can write a Mindful Session record back to Apple Health for each Nervous System Reset You complete. These signals feed Body readiness and load readiness and, on Pulse and above, the state label on Home. Workouts You import become health events that can lower the day's load score by up to 4 points; no other health signal changes the load score. This integration is optional and can be revoked, purged, or reconfigured per-data-type at any time from Settings › Health data. Ukonik is not a medical device, clinical tool, or substitute for professional advice of any kind.

03Eligibility

You must be at least 18 years old to use Ukonik. By creating an account, you represent that you meet this requirement.

04Your Account

You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. Notify us immediately at ukonik@wellkirk.com if you suspect unauthorized access to your account.

By creating an account, you agree to receive service-related communications (such as billing receipts, security notices, legal notices, and notices about scheduled maintenance) and marketing communications from Wellkirk about Wellkirk products, including Ukonik. We may deliver these by email, as a push notification if you have enabled notifications on your device, or as a dismissible message inside the application. See our Privacy Policy for details on how we use your contact information and how to unsubscribe from marketing emails. Push notifications for newsletter and feature announcements are off unless you turn them on under Settings → Notifications.

05Subscriptions and Billing

Ukonik offers a free plan and paid plans billed monthly. Paid plans renew automatically until you cancel.

Where to cancel. If you subscribed on the web, cancel from Account → Plan and billing (Manage billing). If you subscribed in the iPhone app, cancel in your Apple ID subscription settings; if you subscribed in the Android app, cancel in Google Play subscriptions. Deleting your Ukonik account does not cancel an App Store or Google Play subscription.

When cancellation takes effect. Your paid plan continues until the end of the current billing period, then your account moves to the free plan. Your data is kept.

Refunds. We don't offer refunds for partial billing periods. Purchases made through the App Store or Google Play are subject to Apple's or Google's refund policies, and refund requests are handled by them.

Plan changes. On the web, a plan change takes effect immediately and is prorated: when you upgrade, you're charged the difference for the rest of the current period; when you downgrade, the unused amount is credited to your account and applied to future invoices. In the iPhone and Android apps, upgrades take effect immediately and downgrades take effect at your next renewal, as handled by Apple or Google.

Failed payments. If a renewal payment fails, we and our payment providers will retry it for a limited time and you keep access while we do. If payment can't be collected, the paid plan is canceled and your account moves to the free plan.

Price changes. We'll give you at least 30 days' notice before changing the price of your plan.

06Calendar Data

When you connect a Google Calendar or Microsoft Outlook account, Ukonik accesses calendar metadata to compute your performance load score and to match your calendar events against goals and preferences you have declared in the service (for example, matching a meeting title against a weekly priority you have entered so Ukonik can surface related events or protect time around them). Meeting titles are stored securely and are displayed only to you. They are never shared with other users or used in cross-user or cohort analysis. They are sent to third parties only as needed to run the service (e.g., secure database hosting), to your calendar provider for actions you approve, and to our AI provider, OpenAI, for two optional features you turn on in Settings › Agents: AI attribution and Name meetings in weekly insights. Both are off by default; see the Privacy Policy for what each one sends. You may disconnect your calendar at any time from your account settings. Disconnecting your calendar will stop score computation but will not delete historical scores already computed.

With your permission, Ukonik can also add events to a connected calendar — for example, scheduling a 15-minute break, focused-work time, or a recovery session. Ukonik creates a calendar event only after you have approved it — either that specific event, or a setting you turned on that writes events for you, such as Protect Mode or calendar coloring; it will never create, edit, or delete an event without your confirmation or approval. Events Ukonik creates use generic, Ukonik-authored titles (e.g., "Ukonik Break (15m)").

07Health Data (Apple Health & Health Connect)

When You grant Ukonik permission to read from Apple Health or Health Connect on mobile, Ukonik reads only the data types You explicitly authorize at the operating-system level. On first connection, Ukonik reads the last 14 days of the granted types to establish Your personal baselines; thereafter, Ukonik reads incrementally as the app is opened. Ukonik uses this data solely to (a) surface Your recovery trend, Body readiness and load readiness on the Recovery tab and Home, (b) add workout sessions to Your Ukonik calendar as `health`-tagged events (deduped against scheduled events on Your connected calendar), (c) modulate the displayed state label on Home under specific conditions (see Not Medical Advice below), and (d) on the Pulse plan and above, credit workout minutes toward a declared Health priority target.

Ukonik writes back exactly one datum: a Mindful Session record to Apple Health or a Mindfulness record to Health Connect, one per completed Nervous System Reset You choose to log. This writeback is enabled by default and can be turned off in Settings › Health data.

Apple Health and Health Connect data is stored and displayed to the owning user only. It is never included in cross-user queries, aggregate metrics, model-training inputs, AI prompts, or log output; it is never sold, shared with third parties, or used for advertising. Apple's HealthKit terms and Google's Health Connect policy prohibit these uses, and Our practice matches both. Ukonik retains per-day biometric roll-ups for up to 400 days and then automatically deletes them; You can also wipe all cached Health data at any time from Settings › Health data › Purge All. Deleting Your Ukonik account additionally deletes every biometric row associated with it.

The Health integration is a Pulse-tier feature. On the Free tier, Ukonik does not read or write any biometric data even if permission has been granted at the OS level. Downgrading from Pulse to Free stops future biometric reads but does not automatically delete Your cached history — use Purge All to remove it explicitly.

08Acceptable Use

You agree not to:

• use Ukonik for any unlawful purpose;
• attempt to gain unauthorized access to any part of the service or its infrastructure;
• reverse engineer, decompile, or disassemble any part of the service;
• use automated means to access or scrape the service; or
• resell or sublicense access to the service.

09Not Medical Advice

Ukonik provides performance data based on calendar activity patterns and, when You connect Apple Health or Health Connect, on biometric signals You have collected through those systems. Nothing in Ukonik — the load score, priority coverage, Body-readiness ring, heart-rate variability trend, sleep trend, resting-heart-rate trend, or the state label displayed on Home — constitutes medical advice, a clinical assessment, a diagnosis, or a substitute for evaluation by a qualified healthcare professional. The Body-readiness display and the HRV-informed state label are ambient orientation intended to help You notice patterns in Your own data; they are not designed to detect, diagnose, or treat any condition. If You have concerns about Your physical or psychological health, consult a licensed healthcare professional. In an emergency, contact emergency services immediately.

10AI-Generated Content

Some Service features generate written content or classifications using third-party AI models. This includes weekly and monthly insight narratives, personalized nudges, and, where you turn them on in Settings › Agents, automatic classification of meeting titles against your declared priorities and weekly insights that name a recurring meeting. AI-generated content may be inaccurate, incomplete, or unsuitable for a given situation. It is not medical, legal, or financial advice. You should verify important decisions independently and treat AI output as one input among several, not as ground truth.

Wellkirk is not liable for outcomes resulting from your reliance on AI-generated content. The models we use are provided by third parties, and their behavior, availability, and policies may change without notice; we may change models or turn features off if a provider becomes unsuitable. See the Privacy Policy for what data is sent to those models and how to disable each feature.

11Intellectual Property

All content, features, and functionality of Ukonik — including but not limited to the software, scoring algorithms, design, and text — are owned by Wellkirk LLC and protected by applicable intellectual property laws. These Terms do not grant you any right to use Wellkirk trademarks, logos, or brand features.

12Termination

We may suspend or terminate your account at any time for violation of these Terms or for any other reason at our discretion, with or without notice. You may delete your account at any time from your account settings. Upon deletion, your data will be permanently removed from our systems.

13Disclaimers

Ukonik is provided as-is and as-available without warranties of any kind, either express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement. We do not warrant that the service will be uninterrupted, error-free, or free of harmful components.

14Limitation of Liability

To the fullest extent permitted by law, Wellkirk LLC shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of or inability to use the service. Our total liability to you for any claims arising under these Terms shall not exceed the amount you paid us in the 12 months preceding the claim.

15Governing Law

These Terms are governed by the laws of the State of Delaware, without regard to its conflict of law provisions. Any disputes shall be resolved exclusively in the state or federal courts located in Delaware.

16Changes to These Terms

We may update these Terms at any time. We will notify you of material changes by email or by posting a notice in the app. Continued use of Ukonik after changes take effect constitutes acceptance of the updated Terms.
