01Agreement to Terms

By creating an account or using Ukonik, you agree to these Terms of Service and our Privacy Policy. If you do not agree, do not use Ukonik. These Terms form a binding agreement between you and Wellkirk LLC.

02Description of Service

Ukonik is a performance intelligence tool that maps your calendar activity to a daily performance load score. Ukonik processes calendar metadata — meeting duration, attendee count, and timing — to compute scores, surface patterns, and generate insights. Ukonik is not a medical device, clinical tool, or substitute for professional advice of any kind.

03Eligibility

You must be at least 18 years old to use Ukonik. By creating an account, you represent that you meet this requirement.

04Your Account

You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. Notify us immediately at [email protected] if you suspect unauthorized access to your account.

By creating an account, you agree to receive service-related communications (such as billing receipts, security notices, legal notices, and notices about scheduled maintenance) and marketing communications from Wellkirk about Wellkirk products, including Ukonik. We may deliver these by email, as a push notification if you have enabled notifications on your device, or as a dismissible message inside the application. See our Privacy Policyfor details on how we use your contact information and how to unsubscribe from marketing emails. Push notifications for newsletter and feature announcements are off unless you turn them on under Settings → Notifications.

05Subscriptions and Billing

Ukonik is offered on a subscription basis. After a 14-day free trial, your selected plan will be charged to your payment method on a recurring basis until cancelled. You may cancel your subscription at any time from your account settings. Cancellation takes effect at the end of the current billing period. We do not offer refunds for partial billing periods. We reserve the right to change pricing with 30 days notice.

06Calendar Data

When you connect a Google Calendar or Microsoft Outlook account, Ukonik accesses calendar metadata to compute your performance load score and to match your calendar events against goals and preferences you have declared in the service (for example, matching a meeting title against a weekly priority you have entered so Ukonik can surface related events or protect time around them). Meeting titles are stored securely and are displayed only to you — they are never shared with other users, used in cross-user or cohort analysis, or transmitted to third parties except as required to operate the service (e.g., secure database hosting). You may disconnect your calendar at any time from your account settings. Disconnecting your calendar will stop score computation but will not delete historical scores already computed.

With your permission, Ukonik can also add events to a connected calendar — for example, scheduling a 15-minute break, focused-work time, or a recovery session. Ukonik creates a calendar event only after you have explicitly approved that specific event; it will never create, edit, or delete an event without your confirmation at the time. Events Ukonik creates use generic, Ukonik-authored titles (e.g., "Ukonik Break (15m)").

07Acceptable Use

You agree not to:

• use Ukonik for any unlawful purpose;
• attempt to gain unauthorized access to any part of the service or its infrastructure;
• reverse engineer, decompile, or disassemble any part of the service;
• use automated means to access or scrape the service; or
• resell or sublicense access to the service.

08Not Medical Advice

Ukonik provides performance data based on calendar activity patterns. Nothing in Ukonik constitutes medical advice, a clinical assessment, a diagnosis, or a substitute for evaluation by a qualified healthcare professional. If you have concerns about your physical or psychological health, consult a licensed healthcare professional. In an emergency, contact emergency services immediately.

09Intellectual Property

All content, features, and functionality of Ukonik — including but not limited to the software, scoring algorithms, design, and text — are owned by Wellkirk LLC and protected by applicable intellectual property laws. These Terms do not grant you any right to use Wellkirk trademarks, logos, or brand features.

10Termination

We may suspend or terminate your account at any time for violation of these Terms or for any other reason at our discretion, with or without notice. You may delete your account at any time from your account settings. Upon deletion, your data will be permanently removed from our systems.

11Disclaimers

Ukonik is provided as-is and as-available without warranties of any kind, either express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement. We do not warrant that the service will be uninterrupted, error-free, or free of harmful components.

12Limitation of Liability

To the fullest extent permitted by law, Wellkirk LLC shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of or inability to use the service. Our total liability to you for any claims arising under these Terms shall not exceed the amount you paid us in the 12 months preceding the claim.

13Governing Law

These Terms are governed by the laws of the State of Delaware, without regard to its conflict of law provisions. Any disputes shall be resolved exclusively in the state or federal courts located in Delaware.

14Changes to These Terms

We may update these Terms at any time. We will notify you of material changes by email or by posting a notice in the app. Continued use of Ukonik after changes take effect constitutes acceptance of the updated Terms.
